1. Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and Content Metric ("Content Metric", "we", "us"). They govern your access to and use of the ContentMetric platform, websites, APIs, and related services (together, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

2. The Service

ContentMetric is a multi-tenant content management and website hosting platform. It lets you create, manage, and publish content and websites, and to provision isolated projects backed by dedicated storage.

We may update, add, or remove features over time. We aim to give reasonable notice of material changes that reduce core functionality.

3. Accounts and eligibility

You must provide accurate account information and keep it current. You are responsible for all activity under your account and for keeping your credentials secure.

You must be old enough to form a binding contract in your jurisdiction to use the Service.

4. Plans, billing, and usage

Paid plans are billed in advance on a recurring basis through our payment processor. Usage-based charges are metered daily and billed according to your plan.

Unless stated otherwise, fees are non-refundable except where required by law. You authorize us to charge your chosen payment method for all fees incurred. Failure to pay may result in suspension or downgrade of your projects.

5. Your content

You retain all ownership of the content, data, and materials you upload or create through the Service ("Your Content"). You grant us a limited license to host, store, process, transmit, and display Your Content solely to operate and provide the Service to you.

You are solely responsible for Your Content and for ensuring you have the rights to use it and that it complies with applicable law and these Terms.

6. Acceptable use

You agree not to use the Service to:

• Violate any law or the rights of others, including intellectual property, privacy, or publicity rights.
• Upload malware, or attempt to gain unauthorized access to the Service, other tenants, or our infrastructure.
• Send spam, run phishing, or host fraudulent, deceptive, or abusive content.
• Interfere with or place undue load on the Service, circumvent usage limits, or resell the Service without authorization.
• Store or transmit content that is unlawful, infringing, or that you are not authorized to handle.

7. Intellectual property

The Service, including its software, design, and documentation, is owned by Content Metric and its licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; they do not transfer any ownership in the Service to you.

8. Availability and support

We work to keep the Service available and reliable, but we provide it on a commercially reasonable-efforts basis. We may perform maintenance, and parts of the Service may be unavailable from time to time.

9. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay fees, or use the Service in a way that risks harm to the Service or others.

On termination, your right to use the Service ends. We will make Your Content available for export for a reasonable period where practicable, after which it may be deleted in accordance with our data retention practices.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

11. Limitation of liability

To the maximum extent permitted by law, Content Metric will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months before the event giving rise to the liability.

12. Indemnification

You agree to indemnify and hold Content Metric harmless from claims, damages, and expenses arising out of Your Content, your use of the Service, or your breach of these Terms, except to the extent caused by our own wrongdoing.

13. Governing law

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles. The courts of Singapore will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer protections that apply to you.

14. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
